11. Governing Law and Dispute Resolution 11.1 Governing Law:These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles. You agree that any action arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts.
11.2 Informal Resolution: Before filing any legal claim, the parties agree to attempt to resolve any dispute informally. You agree to contact us at hello@one-nano.com describing your dispute in reasonable detail, and we will attempt to respond within 30 days. Most disputes can be resolved without formal proceedings.
11.3 Binding Arbitration: If we are unable to resolve a dispute informally within 60 days of your notice, either party may elect binding arbitration administered by the American Arbitration Association(“AAA”) under its Commercial Arbitration Rules. Arbitration will take place in Clark County, Nevada. The arbitrator’s award will be final and binding and maybe entered as a judgment in any court of competent jurisdiction. This arbitration provision is consistent with the dispute resolution approach adopted by our affiliated brand DIEZ (diezmushrooms.com). Both entities are operated by ONE NanoScience, Inc. and apply Nevada law and Clark County venue.
11.4 Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
11.5 Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration. Nothing in this Section limits our right to terminate your access to the Site.
